Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Lumi Robotics website and services (collectively, the "Services") made available at flowapi.net and related domains (the "Site"). The Services are operated by Lumi Robotics, Inc. ("Lumi Robotics," "we," "us," or "our").

By accessing or using the Services, creating an account, or generating API keys, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.

1. The Services

Lumi Robotics provides AI infrastructure services and desktop AI hardware products through the Site, together with account management, usage metering, billing, support, and related features as described on the Site. We may modify, suspend, or discontinue features with reasonable notice where practicable.

Third-party models. Inference may be performed by underlying model providers or infrastructure partners. We do not control third-party models and do not guarantee availability, latency, accuracy, or fitness for a particular purpose. Model listings and marketing materials are for information only and may not reflect real-time routing or pricing.

2. Accounts and security

You must provide accurate registration information and keep your credentials and API keys confidential. You are responsible for all activity under your account. Notify us promptly at contact@flowapi.net if you suspect unauthorized use.

3. Acceptable use

You agree not to misuse the Services, including by: violating applicable laws; infringing intellectual property or privacy rights; attempting to probe, scan, or test vulnerability of our systems without authorization; circumventing rate limits, quotas, or billing; distributing malware; generating or facilitating illegal, fraudulent, or harmful content at scale; or using the Services to build products that primarily compete with our core API aggregation offering in violation of fair use. We may investigate and suspend or terminate access for violations.

4. Your content and instructions

You retain rights to inputs you submit ("Customer Content"). You grant us a limited license to host, process, transmit, and display Customer Content solely to provide and improve the Services, enforce these Terms, and comply with law. You represent that you have all rights necessary to submit Customer Content. You are responsible for your prompts, outputs where you integrate them, and compliance with laws applicable to your use case (including data protection and sector rules).

5. Fees and payment

Paid features, credits, subscriptions, or usage-based charges are described on the Site and at checkout. Prices may change with notice. Taxes may apply. Payments may be processed by third-party processors (for example, card or payment partners). If you dispute a charge, contact us before initiating a chargeback so we can help. Failure to pay may result in suspension of access.

6. Intellectual property

We and our licensors own the Site, the Lumi Robotics name and branding, software, and documentation, excluding your Customer Content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription or account term.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE OR SUITABLE FOR ANY DECISION.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THREAD TREND LIMITED AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), EXCEPT WHERE PROHIBITED BY LAW.

9. Indemnity

You will defend and indemnify Lumi Robotics, Inc. and its affiliates against third-party claims, damages, and costs (including reasonable attorneys' fees) arising from your Customer Content, your use of the Services in breach of these Terms, or your violation of law.

10. Termination

You may stop using the Services at any time. We may suspend or terminate access for breach, risk, legal requirement, or discontinuation of the Services with reasonable notice when practicable. Provisions that by nature should survive (including disclaimers, limitations, indemnity, and governing law) will survive termination.

11. Changes

We may update these Terms by posting a new version on this page and updating the "Last updated" date. Material changes may be communicated via the Site or email. Continued use after the effective date constitutes acceptance unless prohibited by law.

12. Governing law and disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles. Courts in Hong Kong have exclusive jurisdiction, subject to mandatory consumer protections in your place of residence where applicable.
